Southwest Airlines Board of Directors Nominees Announced

Southwest Airlines Co. has revealed in its Proxy Statement, which was made public today, that the Board of Directors has put forth a list of 14 candidates for election at the upcoming Annual Meeting of Shareholders on May 15, 2024. As previously communicated, the Board is pleased to nominate Lisa Atherton as a new Director. However, Directors Ron Ricks and John Montford have decided not to seek reelection.

Southwest Airlines Executive Chairman of the Board, Gary Kelly, expressed his gratitude to Ron and John for their unwavering dedication to the company. On behalf of the Board, he acknowledged the significant contributions made by both individuals, emphasizing the profound positive influence they had on the Board and the overall success of Southwest Airlines. If all candidates are elected, the Board will comprise 14 members, which is a decrease from the current membership of 15. Veronica Biggins, the Chair of the Board’s Nominating and Corporate Governance Committee, stated that as the Board progresses, it is logical to anticipate a gradual reduction in its size, bringing it closer to historical levels in the upcoming years.

Southwest Airlines President and Chief Executive Officer, Bob Jordan, expressed his gratitude to Ron and John for their significant contributions and service to the company. He also expressed his excitement about Lisa’s nomination to join the Board, highlighting her extensive expertise in aviation, defense, and government contracting, as well as her proven track record in leading complex programs and strategic initiatives. Jordan believes that Lisa will make a valuable addition to the Board.
